Prepare your transparency register communications in just a few clicks

Create the right documents for preparing for the transparency register: a company checklist, communications for shareholders or members, FAQs and case-specific guidance.

For fiduciary professionals, lawyers and advisers
who want to prepare communications with clients and shareholders or members in a structured way.

‍
Tailored to the legal form, ownership structure and specific control arrangements of the company.

The process starts with the right information

To prepare a report to the transparency register, a company must identify its beneficial owners, assess the relevant ownership and control relationships and document how it reached its conclusions.

This often requires additional information from shareholders or members.

For fiduciary professionals and other advisers, this creates a practical challenge: they may coordinate the process, but communications with shareholders or members are made in the name of the company.

The Communication Generator helps you prepare the right documents for the specific structure.

What the Communication Generator creates for you

Depending on the legal form, ownership structure and specific control arrangements, the generator automatically compiles the appropriate communication documents.

Company checklist

Shows the board of directors, management or other responsible persons which steps need to be taken — from capturing the ownership and control structure through to reporting and subsequent updates.

Cover email to your client

If you coordinate the process as a fiduciary professional, lawyer or other adviser, you receive a prepared cover email for the company’s governing body.

Communication to shareholders or members

A clear template the company can use to request the information required for the assessment.

FAQ for natural persons

Explains why information is required, who may qualify as a beneficial owner and which information or documents may be relevant in the specific case.

FAQ for legal entities

Helps companies and other legal entities understand which information may be required about the underlying ownership and control structure.

Guidance for specific situations

Where relevant, the generator adds further information on topics such as:
• acting in concert
• control by other means
• convertible bonds and other financing instruments
• fiduciary arrangements
• trusts
• multi-level ownership and chains of control
• ownership or control relationships that have not yet been fully clarified

From a few questions to the right communication package

The generator only asks for the information required to compile the right documents.

01
Select the legal form

Company limited by shares or limited liability company — so that the terminology and documents match the company.

02
Describe the holders of ownership interests

Natural persons, legal entities or a mixed ownership structure.

03
Consider ownership and chains of control

Where legal entities hold ownership interests, the generator takes into account whether there are further levels behind the immediate holder.

04
Identify specific arrangements

For example shareholders’ agreements, specific control rights, fiduciary arrangements, trusts or financing instruments.

05
Define who coordinates the process

Indicate whether the process is coordinated by the company itself or by a fiduciary professional or other adviser.

You receive a communication package tailored to the specific situation and can use the documents individually or save them together as a PDF.

Not every shareholder or member needs the same information

Identifying beneficial owners is not simply a matter of checking who holds at least 25% of the ownership interests.

Indirect holdings, voting rights, acting in concert, specific control rights and fiduciary arrangements may also be relevant.

The Communication Generator therefore distinguishes between, among other things:

natural persons and legal entities
simple and multi-level ownership structures
ownership interests and voting rights
acting in concert
control by other means
fiduciary and trust structures

This means that the parties involved receive only the information relevant to their situation.

FAQ

Frequently asked questions about the Communication Generator

Is the Communication Generator free to use?

Yes. The Communication Generator is free to use.

Does every shareholder or member qualify as a beneficial owner?

No. The fact that a company requests information from a shareholder or member does not automatically mean that this person is a beneficial owner. Indirect structures, acting in concert and other means of control may also be relevant.

Does the Communication Generator identify the beneficial owners?

No. The generator supports communication and information gathering. The actual assessment of who qualifies as a beneficial owner and who must be reported to the transparency register takes place afterwards. Konsento’s Transparency Register Reporting Assistant can be used for this assessment.
